These Terms of Use ("Terms") govern your access to and use of Stroemi, including the Stroemi website, platform, applications, features, and related services (collectively, the "Service").
The Service is operated by Baisden Holdings Inc., an Ontario corporation doing business as Stroemi ("Stroemi," "we," "us," or "our").
By creating an account, purchasing credits, or otherwise accessing or using the Service, you agree to be bound by these Terms. If you do not agree with these Terms, you must not use the Service.
Stroemi is an artificial intelligence-powered content generation platform.
The Service allows eligible users to upload photographs, including selfies, for the purpose of training or creating a personalized AI model. Users may then use available credits to generate AI-created images, videos, or other supported content based on that model.
Stroemi currently operates on a credit-based, one-time-purchase model. Unless expressly stated otherwise, Stroemi does not require a recurring subscription.
You must be at least 18 years old to create an account or use Stroemi.
By using the Service, you represent and warrant that:
You may upload photographs of yourself.
You may only upload photographs of another person if you have obtained that person's clear and informed permission to upload and process their images through Stroemi.
You are solely responsible for obtaining any permission, consent, authorization, or other legal right required for content you upload.
Stroemi is not responsible for verifying whether you have obtained permission from individuals appearing in uploaded content.
You must not upload images of minors for the purpose of AI model training or generation through Stroemi.
Certain features of Stroemi require an account.
You are responsible for maintaining the confidentiality and security of your account credentials and for all activity conducted through your account.
You must notify us promptly if you believe your account has been accessed or used without authorization.
We reserve the right to suspend, restrict, or terminate accounts that violate these Terms, create security risks, or are used in connection with unlawful or abusive activity.
Stroemi uses a credit-based system.
Credits may be purchased in packages offered through the Service.

The number of credits required for a particular generation may vary depending on the feature, model, processing requirements, or third-party provider involved.
We may change credit costs for future generations at any time. Any changes will not retroactively alter credits already spent.
Payments are processed through third-party payment processors, including Stripe.
Stroemi does not directly store your full payment card details.
Charges may be processed in the currency displayed at checkout or converted by your bank, card issuer, or payment provider. Currency conversion fees or other charges imposed by your financial institution are your responsibility.
By purchasing credits, you authorize the applicable payment processor to charge the payment method you provide.
Except where required by applicable law, purchases of credit packages are generally final once completed.
Because AI generation services involve computing resources and third-party processing costs, Stroemi does not generally provide refunds for successfully completed generations based solely on:
If a generation fails due to a technical error involving Stroemi or one of our AI service providers and the Service identifies the failure, the credits charged for that failed generation may be automatically returned to your Stroemi credit balance.
Nothing in this section limits any refund, cancellation, or consumer right that cannot legally be excluded under applicable law.
You agree not to use Stroemi to create, upload, request, distribute, or facilitate content that:

We may suspend or terminate access to the Service where we reasonably believe these Terms have been violated.
Serious violations may result in immediate termination without refund of unused credits, subject to applicable law.
As between you and Stroemi, you retain ownership of photographs and other original content you upload to the Service, subject to any rights held by third parties.
Subject to applicable law and the rights of third parties, you may also use content generated for you through Stroemi.
You grant Stroemi a limited, non-exclusive, worldwide license to host, copy, transmit, process, modify, and otherwise use your uploaded content only to the extent reasonably necessary to:
This license includes the right to transmit your content to third-party service providers that perform AI training, image generation, video generation, hosting, storage, authentication, payment processing, or other functions necessary to operate Stroemi.
Our handling of personal information and uploaded images is further described in our Privacy Policy.
Artificial intelligence systems are probabilistic and may produce unexpected, inaccurate, unrealistic, or undesirable results.
Stroemi does not guarantee that generated content will:
You are responsible for reviewing generated content before using, publishing, distributing, or relying on it.
Stroemi and its licensors own all rights, title, and interest in the Service itself, including its software, interface, branding, designs, text, graphics, systems, and technology, excluding user-owned content.
Nothing in these Terms grants you ownership of Stroemi's software, trademarks, branding, proprietary technology, or other intellectual property.
You may not use the Stroemi name, logo, trademarks, or branding without our prior written permission.
Stroemi relies on third-party providers to deliver certain parts of the Service.
These providers may include services relating to:
Third-party services may experience interruptions, errors, delays, outages, or changes that are outside Stroemi's control.
We are not responsible for the acts, omissions, availability, or performance of independent third-party providers, except to the extent required by law.
We aim to maintain reliable access to Stroemi but do not guarantee uninterrupted or error-free operation.
The Service may occasionally be unavailable because of:
We may modify, suspend, discontinue, or replace features of Stroemi at any time.
Where reasonably possible, we will attempt to minimize disruption to users.
You may request or initiate deletion of your Stroemi account through Account settings where that functionality is available.
Deleting your account may permanently remove:

Unused credits are not refundable solely because you choose to delete your account, except where otherwise required by law.
Certain information may be retained where necessary to comply with legal obligations, resolve disputes, prevent fraud, enforce agreements, maintain security, or satisfy legitimate business requirements described in our Privacy Policy.
We may suspend, restrict, or terminate your access to Stroemi if:

However, we may act immediately where necessary to address serious misconduct, fraud, security threats, unlawful activity, or harm to others.
To the maximum extent permitted by applicable law, Stroemi is provided on an "as is" and "as available" basis.

Nothing in these Terms excludes warranties or statutory rights that cannot legally be excluded.
To the maximum extent permitted by applicable law, Baisden Holdings Inc., Stroemi, and their directors, officers, employees, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to your use of the Service.
This includes, where legally permitted, loss of profits, data, business opportunities, reputation, goodwill, or anticipated savings.
To the maximum extent permitted by law, our aggregate liability arising from or relating to the Service or these Terms will not exceed the total amount you paid to Stroemi during the 12 months immediately preceding the event giving rise to the claim.
Nothing in these Terms limits liability that cannot legally be limited or excluded.
To the extent permitted by law, you agree to indemnify and hold harmless Baisden Holdings Inc. and Stroemi from claims, damages, liabilities, costs, and expenses arising from:

These Terms are governed by the laws of the Province of Ontario and the applicable federal laws of Canada.
Subject to any rights that cannot legally be waived, disputes relating to these Terms or the Service will be subject to the jurisdiction of the courts located in Ontario, Canada.

Your continued use of Stroemi after updated Terms take effect constitutes acceptance of the updated Terms, subject to applicable law.

These Terms, together with our Privacy Policy and any other policies expressly incorporated by reference, form the agreement between you and Stroemi concerning your use of the Service.
